Terms of Service
The master agreement that governs every Review, monthly Plan, website, brand, marketing campaign, hosted system and related service we provide.
Version 2.2 · Effective October 8, 2026
01Parties, capacity and business-to-business use only
These Terms of Service (the "Terms") form a legally binding agreement between Blazed Digital, trading as The Revamp Company, a sole proprietorship registered in the Islamic Republic of Pakistan, with a place of business in Islamabad, Pakistan ("we", "us", "our", "Revamp"), and the business, company, partnership, organisation or other commercial person that accepts them (the "Client", "you", "your").
The Services are offered exclusively to businesses acting in the course of trade. You represent and warrant that you are not a consumer, that you are entering into these Terms wholly or mainly for the purposes of a trade, business, craft or profession, and that the person who accepts these Terms has full legal authority to bind the Client.
If you are a consumer, you must not use the Services. Consumer protection, cooling-off and similar rights do not apply. To the limited extent any mandatory law nevertheless treats you as a consumer or otherwise confers non-excludable rights, those rights are not excluded, restricted or modified except to the maximum extent that law permits. Every other provision of these Terms remains in full force.
02Definitions
In these Terms:
- "Affiliate" means any person that controls, is controlled by, or is under common control with a party.
- "Ad Spend" means amounts paid to advertising platforms such as Google or Meta for media placement, which are separate from our Fees.
- "Client Materials" means data, content, credentials, documents, brands, feedback, systems access and other materials you supply or make available to us.
- "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would treat as confidential, including business processes, pricing, source code, credentials and personal data.
- "Deliverable" means any work product we specifically create for you under a Statement of Work, excluding Pre-Existing Materials, Tools and third-party materials.
- "Fees" means all amounts payable to us, including monthly Plan fees, project invoices, change-request charges, pass-through costs, interest and recovery costs. Fees never include Ad Spend.
- "Founding Rate" means the introductory monthly rate offered to our first ten (10) Plan clients, as described in the Payment and Billing Terms.
- "Policies" means the Payment and Billing Terms, Refund and Cancellation Policy, Intellectual Property and Licensing terms, Service Level and Support Terms, Privacy Policy, Data Processing Agreement, Cookie Policy, Acceptable Use Policy, Referral Partner Terms, Disclaimer and any other policy we publish at /legal.
- "Plan" means a monthly growth subscription marketed as Get Seen, Get Clients or Own Your Market, or any other recurring plan we offer, with the inclusions and monthly limits stated on our pricing page at the time you subscribe or in a Statement of Work.
- "Pre-Existing Materials" means everything we owned or licensed before a particular engagement, or that we develop independently of your Client Materials, including templates, frameworks, libraries, know-how, methods, prompts, designs, documentation and code.
- "Prospect Contacts" means people or businesses we identify and contact through outreach on your behalf. A Prospect Contact is not an enquiry, lead, booking or customer.
- "Proposal" means any written quote, proposal, estimate, scope note or similar commercial offer we issue.
- "Review" means the complimentary diagnostic engagement marketed as the Revamp Review.
- "Services" means all services, software, access, advice, deliverables and work we provide, including the Review, Plans, Setup Deliverables, marketing, advertising management, booking, hosted systems and related communications.
- "Setup Deliverables" means one-time deliverables included in a Plan, such as a website, landing pages, logo, colors, fonts, brand identity and messaging.
- "Statement of Work" or "SOW" means a Proposal you accept, an invoice you pay, an order you confirm, or any other written description of scope, price and timeline that we both treat as the commercial record of an engagement.
- "Tools" means our internal systems, generators, prompts, scaffolds, deployment pipelines, client portal software and other materials we use to perform the Services.
03Acceptance and formation of contract
You accept these Terms, and a contract is formed, on the earliest of: (a) you clicking to accept or otherwise confirming them; (b) you booking a Review or submitting a form on our website; (c) you accepting a Proposal or Statement of Work; (d) you paying any invoice, deposit or Fee; or (e) you accessing or using any Service.
We may refuse, delay or condition any engagement at our sole discretion, including after a Review, and we have no obligation to accept any request for Services.
These Terms apply to every current and future engagement unless we sign a separate written agreement that expressly states it replaces them. Using the Services after we publish an updated version constitutes acceptance of the updated Terms.
04Order of precedence
If there is a conflict, the following order applies, the first prevailing over the later: (1) a signed amendment that expressly varies a named clause; (2) the applicable Statement of Work, but only for commercial particulars of scope, Fees, milestones and timetable; (3) these Terms; (4) the Policies; (5) website marketing copy, estimates, conversations and other non-contractual material.
Marketing pages, FAQs, prices shown as ranges, case studies, timelines such as "your plan within 8 hours" or "reply in 24 hours", and any verbal discussion are illustrations only. They do not form part of the contract and do not create any representation, warranty or collateral contract. If you want a promise to be binding, it must appear in a Statement of Work we have issued.
05The Services
We provide marketing, branding, website and growth-system services. Depending on your Plan or Statement of Work, that may include research and marketing plans, business profile cleanup, brand identity, websites and landing pages, booking forms, lead tracking and automated follow-up, email outreach, local SEO and content, social content, Google and Meta ad management, reporting and strategy calls. We do not undertake to supply any particular combination of those items unless your Plan or the Statement of Work says so.
We perform the Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship or contract of employment. You have no authority to bind us and we have no authority to bind you, except as a Statement of Work expressly states.
We may use employees, contractors, subcontractors and third-party platforms to perform the Services. We remain responsible to you for our obligations under these Terms, subject always to the exclusions, limitations and third-party terms set out here.
06Plans, Statements of Work and estimates
Plans have the inclusions and monthly limits published for that Plan when you subscribe, as confirmed in writing before you sign. Monthly limits (for example Prospect Contacts, ad creatives, social posts, content pieces or channels) are maximums for that month. Unused allowances do not roll over and are not refundable. Any other Proposal or estimate is an invitation to treat, not an offer, until we confirm it in writing or issue an invoice that you pay.
Your Plan confirmation or a Statement of Work is the sole source of the agreed scope, Fees and timetable. Anything not expressly included is out of scope. Headings, examples and "can include" lists on the website are not inclusions.
Ad Spend is always excluded and is paid by you directly to Google, Meta or the relevant platform. Third-party software subscriptions, licences, domains, hosting, SMS, email-sending tools, data sources, payment-provider fees and similar items are excluded unless a Statement of Work says we will purchase them for you. If we do, they are quoted separately, approved by you before purchase where practicable, billed as a pass-through and are non-refundable. Third-party costs and scope are agreed with you before you sign.
07Scope, change requests and additional work
The scope is limited to what the Statement of Work describes. Any request, assumption change, additional user, additional integration, additional environment, design revision beyond the number stated, new workflow, data-cleanup exercise, or other work that is not expressly included is a change request.
We are not obliged to perform a change request. If we agree to consider one, we will describe the effect on Fees and timetable. We may refuse to start the additional work until you accept the revised Fees in writing or pay a further invoice. If you instruct us to proceed, or continue to request the additional work after we have flagged it as out of scope, you agree to pay our then-current rates for that work even if a formal change note is still being prepared.
Time spent investigating, estimating or discussing a change request is chargeable if we notify you that it will be. Waiting on you, rework caused by your late or inaccurate materials, and work required because you changed your mind after approval, are billable and are not defects.
08Client obligations and dependencies
You must, at your own cost and in good time:
- provide complete, accurate and lawful Client Materials, access, credentials, environments, approvals and decision-makers;
- obtain and maintain all licences, consents, notices and lawful bases needed for us to use Client Materials and to connect third-party systems;
- ensure that your staff cooperate, attend scheduled calls, test Deliverables and give instructions through one nominated contact;
- keep backups of your data and systems before, during and after the engagement;
- comply with the Acceptable Use Policy and all applicable law, including data-protection, tax, employment, consumer, advertising and sector regulation that applies to your business;
- pay Fees when due.
We are entitled to rely on your instructions, materials and nominated contact without independent verification. You are solely responsible for the commercial, legal and operational decisions you make on the basis of our work.
09Client delay, pause and wasted time
Dates, including any "plan within 8 hours" or similar target, are estimates that assume you meet your obligations immediately. They are not of the essence and are not guarantees.
If you delay providing access, feedback, content, approvals, payments or any other dependency, all dates automatically extend by at least the length of the delay plus a reasonable remobilisation period. We may pause the engagement, reallocate our people, and charge a remobilisation fee and any wasted time at our then-current rates.
If a pause caused by you lasts more than fourteen (14) days, we may treat the engagement as cancelled by you under the Refund and Cancellation Policy, and all Fees then accrued become immediately due.
10The Revamp Review
The Review is complimentary unless a Statement of Work says otherwise. It is a short diagnostic. It is not a Plan, not a complete marketing audit, not legal, tax, accounting or security advice, and not a promise that a paid engagement will follow or will produce any particular result.
We may cancel, reschedule or refuse a Review at any time, including if you fail to attend, if the booking details are incomplete or misleading, or if we determine the work is not a fit. A free Review has no refundable Fee.
Findings, notes, plans and recommendations from a Review are provided "as is". You may use them for your internal business purposes. We retain all intellectual property in our methods, templates and the form of the findings. Booking a Review does not create any obligation on either party to proceed to a paid engagement.
11Monthly Plans
A Plan starts when we confirm your subscription in writing and the first monthly Fee has cleared in our account. Plans are billed monthly in advance, renew automatically each month, and are governed by these Terms, the Payment and Billing Terms, the Refund and Cancellation Policy and the Service Level and Support Terms.
Get Seen is month to month. Get Clients and Own Your Market have a minimum term of three (3) consecutive monthly billing periods, after which they continue month to month. Cancellation and the minimum term are described in the Refund and Cancellation Policy.
Setup Deliverables, such as websites, landing pages and brand identity, are produced once during your Plan. They are not rebuilt each month. Later redesigns, extra pages and work beyond the published limits are change requests.
You decide whether to approve campaigns, ad budgets, outreach messages and published content. You are responsible for the claims made about your products and services, and for the accuracy of anything you ask us to publish.
We may change Plan inclusions, prices and response targets on notice under the Payment and Billing Terms, except that a Founding Rate is fixed as described there. You may cancel a Plan only as set out in the Refund and Cancellation Policy.
12Outreach, advertising and Prospect Contacts
Prospect Contacts are not guaranteed enquiries, leads or customers. Monthly contact numbers are the volume of outreach we carry out, not a promise of replies or sales.
We run outreach in line with the CAN-SPAM Act and other laws that apply to commercial messages, including honest sender details, a physical address and a working opt-out. You must give us accurate business details for this purpose and must not ask us to contact anyone who has opted out.
Advertising platforms set their own rules, prices and approval decisions. Ad Spend is paid by you directly to the platform. We are not liable for platform rejections, account suspensions, cost-per-click changes or results of paid campaigns.
13Acceptance of Deliverables
When we notify you that a Deliverable is ready for review, you have five (5) business days, counted in Islamabad business days, to give written notice of a material, reproducible defect that causes the Deliverable not to conform to the Statement of Work in a material respect. The notice must describe the defect with reasonable specificity so we can reproduce it.
The Deliverable is deemed accepted, and the related milestone is earned in full, on the earliest of: (a) you confirm acceptance; (b) the five-business-day period expires without a valid defect notice; (c) you use the Deliverable in live operations, publish it, or otherwise put it to productive use; or (d) you unreasonably withhold or condition access needed for us to verify a claimed defect.
Aesthetic preference, a desire for additional features, a change of mind, or a defect caused by your materials, hosting, third-party systems or instructions, is not a defect. Our sole obligation for a valid defect notice given in time is to use commercially reasonable efforts to correct the non-conformity. That is your exclusive remedy for defective Deliverables, to the maximum extent permitted by law.
14Warranties and disclaimers
The Services and all Deliverables, findings, software, documentation and access are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, conditions and representations, whether express, implied, statutory or otherwise, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted availability, security and error-free operation.
We do not warrant that the Services will meet your requirements, that integrations with third-party products will continue to work, that we will identify every operational problem in a Review, or that any system will be free of defects, vulnerabilities or downtime.
No employee, contractor or representative is authorised to give any warranty that is not set out in a Statement of Work. You confirm that you have not relied on any representation that is not set out in these Terms or the Statement of Work, and that you have had the opportunity to obtain your own legal, tax and technical advice.
15No guarantee of results, savings or fitness
We do not guarantee revenue, profit, enquiries, bookings, customers, follower growth, conversion rates, search rankings, ad performance, uptime of third-party platforms, or any other business outcome. Any illustration of value is hypothetical and not a forecast.
The only performance promise we make is the Delivery Guarantee in the Refund and Cancellation Policy, which covers delivery of agreed work, not results.
You alone decide whether to proceed after a Review, which recommendations to accept, and how to operate your business. You accept the risk that a technically successful Deliverable may not produce the commercial result you hoped for.
16Third-party products and platforms
Where the Services involve a third-party product (including payment processors, Google Workspace and Calendar, hosting, domain registrars, CRMs, messaging platforms, fonts, analytics, app stores and open-source libraries), that product is supplied under its own terms. We are not a party to those terms and are not liable for the third party's acts, omissions, outages, price changes, API changes, data loss or discontinuation.
You are responsible for creating and maintaining your own accounts, complying with those terms, and paying the third party unless we have expressly agreed to purchase a licence as a pass-through. If a third party changes or withdraws an API or feature, any resulting rework is a change request.
17Fees
Fees are governed by the Payment and Billing Terms, which form part of these Terms. You must pay all Fees when due. Time for payment is of the essence.
Work does not start, and we have no obligation to deliver, hand over, go live, transfer intellectual property, or keep a Plan active, unless and until the applicable Fees have cleared.
18Intellectual property
Intellectual property is governed by the Intellectual Property and Licensing terms, which form part of these Terms. In summary, and without limiting those terms: we retain Pre-Existing Materials and Tools; ownership of Client-specific Deliverables transfers only after payment in full of all Fees then outstanding; until then you have only a revocable licence; and third-party and open-source components remain under their own licences.
19Confidentiality
Each party must keep the other's Confidential Information confidential and use it only to perform the contract. Either party may disclose Confidential Information to its professional advisers and to personnel and subprocessors who need it and are bound by confidentiality obligations no less protective, and as required by law, regulation or a competent court, after giving as much notice as is legally permitted.
Confidential Information does not include information that is public other than by breach, that the receiving party already lawfully knew, that is independently developed without use of the disclosing party's information, or that is rightfully received from a third party without a duty of confidence.
These obligations survive for three (3) years after the engagement ends, and indefinitely for trade secrets, source code, credentials and personal data. We may mention your business name and a factual description of the work in our portfolio unless you opt out in writing under the Intellectual Property and Licensing terms.
20Data protection
Each party must comply with data-protection law that applies to it. Our collection of personal data as a controller (for example booking forms and our own client records) is described in the Privacy Policy. Where we process personal data on your behalf as a processor, the Data Processing Agreement applies and you are the controller.
You warrant that you have a lawful basis to provide personal data to us, that you have given all required notices, and that our processing on your documented instructions will not put us in breach of law. You must not send us special-category, children's, payment-card, health or similarly sensitive data unless a Statement of Work expressly covers it and appropriate measures are agreed in writing first.
21Suspension
We may immediately suspend any or all Services, including access to Deliverables, staging, production, websites, campaigns, portals and credentials we control, if: (a) any Fee is overdue; (b) you breach these Terms, a Policy or a Statement of Work; (c) we reasonably believe the Services are being used unlawfully or in a way that creates risk to us, a third party or the Services; (d) a third-party provider suspends a dependency; or (e) we are required to do so by law.
Suspension does not suspend your obligation to pay, does not extend any Plan term in your favour, and is not a breach by us. We may charge a reasonable reconnection fee.
22Termination
You may terminate a project before completion, or cancel a Plan, only as set out in the Refund and Cancellation Policy.
We may terminate any or all Services immediately by notice if you commit a material breach and, where the breach is capable of remedy, fail to remedy it within seven (7) days; if you fail to pay any Fee when due; if you become insolvent, cease to trade, or a similar event occurs; if continuing would in our reasonable judgement be unlawful or expose us to legal, reputational or security risk; or for convenience on fourteen (14) days' notice.
Termination for convenience by us does not require us to refund Fees for work already performed, milestones already earned, Plan billing periods already started, or non-refundable third-party costs. If we terminate for convenience before a paid milestone is earned, we will either complete that milestone or, at our election, refund the unearned portion of that milestone only, after deducting costs already incurred. That is your sole remedy for our termination for convenience.
23Effect of termination
On termination or expiry: (a) all Fees accrued become immediately due; (b) your licences end except for Deliverables for which you have paid in full; (c) we may disable access we control; (d) each party must return or destroy the other's Confidential Information on written request, except for copies retained for legal, archival or backup purposes; and (e) clauses that by their nature should survive, including Fees, intellectual property, confidentiality, data protection, indemnity, liability, non-solicitation, governing law and this survival wording, remain in force.
We have no obligation to store your data, repositories, staging sites or backups after termination. If you want an export, you must request it before termination and pay our then-current rates, unless a Statement of Work already includes a handover pack and all related Fees have been paid.
24Client indemnity
You must indemnify, defend and hold harmless us, our owner, employees, contractors and agents from and against all claims, losses, damages, costs, fines and expenses (including legal fees on a full indemnity basis) arising out of or in connection with: (a) Client Materials, including any allegation that they infringe a third-party right or are unlawful; (b) your products, services, customers, staff, websites and operations; (c) your breach of these Terms, a Policy, a Statement of Work or law; (d) your failure to obtain a consent, licence or lawful basis; (e) a chargeback, payment dispute or instruction you give to a payment provider; (f) a third-party claim by your customers, staff or suppliers relating to a system we built or connected for you; and (g) your use of the Services after we have advised you of a risk or limitation.
We may take exclusive control of the defence of any indemnified claim. You must not settle any claim that imposes an obligation on us, or admits fault by us, without our prior written consent.
25Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including (where such a prohibition applies) liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Subject to the previous sentence, we are not liable, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, restitution or otherwise, for any: loss of profit, revenue, business, contracts, anticipated savings, goodwill or data; business interruption; wasted management time; cost of substitute services; or any indirect, incidental, special, consequential, exemplary or punitive loss, even if we were advised of the possibility.
Subject to the same reservation, our total aggregate liability arising out of or in connection with the Services and these Terms, whether in one claim or a series, is limited to the Fees you actually paid to us for the specific Service giving rise to the claim during the three (3) months immediately before the event giving rise to the claim. If no Fees were paid for that Service (including a free Review), our aggregate liability is limited to one hundred US dollars (USD 100).
You agree that the Fees reflect this allocation of risk, that this clause is reasonable, and that you have had the opportunity to negotiate a higher cap in a Statement of Work in exchange for a higher Fee. You must notify us of any claim within thirty (30) days of becoming aware of the facts giving rise to it, and you must bring any proceedings within twelve (12) months of the cause of action accruing, after which the claim is absolutely barred.
We have no liability for events described as force majeure, for your delay or instructions, for third-party products, for your failure to keep backups, or for any use of a Deliverable after you knew or should have known of a defect.
26Force majeure
We are not liable for delay or failure caused by circumstances beyond our reasonable control, including internet or power failure, third-party outages, API changes, labour disputes, illness of key personnel, war, terrorism, civil unrest, epidemic, government action, sanctions, fire, flood and acts of God. Dates extend for the duration of the event plus a reasonable restart period. If the event continues for more than sixty (60) days, either party may terminate the affected engagement without refund of Fees already earned or of non-refundable third-party costs.
27Non-solicitation
During the engagement and for twelve (12) months after it ends, you must not, directly or indirectly, solicit, engage, employ or attempt to divert any employee, contractor or consultant of ours who was involved in the Services, without our prior written consent. If you breach this clause, you will pay us, as a genuine pre-estimate of loss and not as a penalty, a sum equal to six (6) months of that person's fees or remuneration (whichever is higher) plus our recruitment costs. We may also seek injunctive relief.
28Assignment
You may not assign, novate, charge or otherwise transfer any right or obligation under these Terms without our prior written consent. Any attempted transfer in breach is void. We may assign or novate these Terms, in whole or in part, to an Affiliate, successor or purchaser of our business, and we may subcontract performance at any time. These Terms bind permitted successors and assigns.
29Notices
Notices under these Terms must be in writing and sent by email. Notices to us must be sent to jarvis@therevampcompany.com. Notices to you may be sent to any email address you used to book, correspond, pay or sign a Statement of Work. A notice is deemed received on the next business day in Islamabad after sending, unless the sender receives an immediate bounce.
We are not obliged to monitor any other channel (including WhatsApp, social media or a project tool) for formal notices, although we may treat an instruction you send there as a binding instruction for scope and Fees.
30Amendments, waiver, severability and entire agreement
We may amend these Terms and the Policies by posting an updated version and, where the change is material, by emailing the address we hold for you. The update takes effect on the stated effective date or, if later, fourteen (14) days after notice. If you do not agree, your sole remedy is to stop using the Services and cancel as permitted. Your continued use or payment is acceptance. You may not amend these Terms except by a written instrument that we expressly accept by reply from jarvis@therevampcompany.com or by a signed Statement of Work.
A failure or delay in exercising a right is not a waiver. A waiver must be specific, in writing, and applies only to the instance stated. If a provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions continue. These Terms, the Policies and the applicable Statement of Work are the entire agreement and supersede all prior discussions. You have not relied on any statement that is not set out in them. Each party waives all claims for innocent or negligent misrepresentation except for fraud.
31Interpretation
Headings are for convenience only. "Including" and similar words are without limitation. A reference to a statute includes amendments and subordinate legislation. If these Terms are translated, the English version prevails. Our drafts, comments and negotiations are not admissible to interpret the contract against us. These Terms are prepared for our protection; the contra proferentem rule does not apply against us.
32Governing law and jurisdiction
These Terms, the Policies, every Statement of Work, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules.
The courts of Islamabad, Pakistan have exclusive jurisdiction over any dispute or claim brought by you. We may, at our sole election, bring proceedings against you in those courts or in any other court of competent jurisdiction, including the courts of the country where you are established or where a payment provider, asset or Deliverable is located. You irrevocably waive any objection to venue on the grounds of forum non conveniens.
If we elect, a dispute we initiate may instead be referred to arbitration seated in Islamabad under the Arbitration Act 1940 (or any successor), before a single arbitrator appointed by agreement or, failing agreement, by the court. The language of arbitration is English. Nothing in this clause prevents us from seeking interim or injunctive relief in any court.
