Payment and Billing Terms
How monthly Plan billing, founding rates, upfront discounts, invoices, taxes, late payment and chargebacks work.
Version 2.2 · Effective October 8, 2026
01Application
These Payment and Billing Terms form part of the contract between you and Blazed Digital (trading as The Revamp Company). They apply to every Fee, invoice, deposit, milestone, subscription, pass-through cost and recovery amount. Capitalised terms have the meaning given in the Terms of Service. If there is a conflict on a commercial particular (amount, due date, milestone definition), the Statement of Work prevails; these terms prevail on everything else about payment.
02Currency, amounts and taxes
Fees are denominated in US dollars (USD) unless an invoice or Statement of Work states another currency. The amount on the invoice is the amount you must cause to arrive, in full, in the currency stated.
Prices exclude all taxes, duties, levies, withholding, sales and use tax, value-added tax and similar charges. If any tax is payable, you must pay it in addition, or gross up the payment so that we receive the full invoiced amount. If a tax authority requires withholding, you must provide official evidence of payment and remain liable for any shortfall. Reverse-charge or similar mechanisms, where available, are your responsibility to operate correctly.
Blazed Digital is a sole proprietorship registered in the Islamic Republic of Pakistan. We do not collect US sales tax, VAT or GST unless we later notify you that we are required to. You are solely responsible for your own tax treatment of the Services in your jurisdiction.
03Quotes are estimates until invoiced
Website prices, ranges and "from" figures are marketing information and may be withdrawn or changed at any time for new subscriptions. A quote is valid only for the period stated on it, or fourteen (14) days if none is stated, and only for the assumptions written on it. We may withdraw a quote at any time before you pay the related invoice.
The binding price is the amount we invoice pursuant to an accepted Statement of Work, plus any change-request Fees, pass-through costs, interest and recovery costs that later arise.
04Monthly Plan billing
Plans are billed monthly in advance. The first monthly Fee is due before work starts, and later Fees are due on the same date each month. Each monthly period is earned in full on its first day. Plans renew automatically until cancelled under the Refund and Cancellation Policy.
There are no setup fees on our published Plans. Setup Deliverables such as websites and brand identity are included in the monthly Fee. For Plans with a three (3) month minimum term, the Fees for the whole minimum term are payable even if you cancel early, as described in the Refund and Cancellation Policy.
If a Plan payment fails, we may retry, suspend work immediately and treat the subscription as in default. Missed periods are not added on later.
05Founding Rate and upfront discount
The Founding Rate is available to our first ten (10) Plan clients only. It stays fixed for twelve (12) months from your Plan start date while your subscription remains active and your scope remains unchanged. If your subscription lapses, is cancelled, or you change Plan or scope, the Founding Rate ends and our standard rates apply from the next billing period.
If you pay three (3) months of a Plan upfront, you receive ten percent (10%) off those three months. An upfront payment covers those months only, is earned month by month as each period starts, and is subject to the Refund and Cancellation Policy.
06Ad Spend
Ad Spend is separate from our Fees. You pay it directly to Google, Meta or the relevant platform, using your own billing method on your own ad account. We do not hold, advance or refund Ad Spend.
07Project billing
Work outside a Plan, such as a one-off project or change request, is billed as stated in the Statement of Work. Unless it says otherwise, a deposit of not less than thirty percent (30%) is payable before work starts and the balance before handover or go-live.
We may refuse to start, deploy, hand over or go live until every earlier invoice has cleared.
08Invoice due date
Invoices are due within seven (7) days of the invoice date, or immediately if the invoice says so (including deposits and amounts stated as payable before work starts or before handover). Time of payment is of the essence.
You must raise any genuine, specific invoice query in writing to jarvis@therevampcompany.com within five (5) days of the invoice date, failing which the invoice is conclusively deemed accepted. A query does not entitle you to withhold any undisputed amount. You must pay the undisputed portion by the due date.
09Payment methods
Our primary method of collection is invoices issued through Payoneer, which may allow you to pay by the methods Payoneer supports from time to time. We may also accept, decline or change any other method at our discretion, including bank transfer, wire, Wise, PayPal, Stripe, card, or any other processor or account we nominate on the invoice.
Payment is not received until the full invoiced amount is credited to our nominated account and is no longer subject to reversal, hold or reserve. A payment-processor confirmation is not conclusive. We may ignore payments sent to an old account, to a personal account that is not nominated on the invoice, or with a missing or incorrect reference.
You must not pay from a stolen instrument, a third party we have not approved, or in a way that would make us a money-services business or expose us to sanctions, AML or chargeback risk. We may reject such a payment and treat the invoice as unpaid.
10Processor, transfer and foreign-exchange fees
You bear all payment-processor fees, receiving fees, intermediary bank fees, correspondent fees, conversion fees and foreign-exchange spreads. If we receive less than the invoiced amount, the shortfall remains immediately due, and we may refuse to treat the invoice as paid until you make it up.
If you pay in a currency other than the invoiced currency, conversion is at the rate applied by the processor or bank, which we do not control. Any resulting shortfall is your responsibility.
11Late payment
If any amount is not received in full by the due date, then without limiting our other rights: (a) interest accrues daily at one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law if lower, from the due date until cleared funds are received; (b) you must reimburse all reasonable recovery costs, including collection-agency fees, bank traces, and legal fees on a full indemnity basis; (c) we may suspend Services immediately; (d) all other invoices, including invoices not yet due, become immediately payable; and (e) we may apply any later payment first to costs, then to interest, then to the oldest principal.
Interest continues to accrue during any suspension, dispute you raise after the query period, or negotiation. We are not obliged to send reminders. Failure to invoice interest immediately is not a waiver.
12Suspension and withholding of Deliverables
While any amount is overdue, we may withhold Deliverables, source code, credentials, documentation, staging and production access, Plan work, campaigns, exports and any transfer of intellectual property. Suspension is not a breach by us and does not entitle you to any refund, credit, extension or damages.
Reinstatement, if we agree to it, may be conditioned on payment of all arrears, interest, costs and a reconnection fee, and on revised milestones or a new Statement of Work.
13Chargebacks, reversals and payment disputes
You agree that the proper way to dispute a Fee is the invoice-query process in these terms, not a chargeback, reversal, claim or dispute opened with a card scheme, bank or payment processor.
Opening a chargeback or similar dispute is a material breach. You must pay an administrative fee of two hundred US dollars (USD 200) per disputed transaction, plus the original amount, interest, processor fines and our costs of responding, including legal fees. We may submit these Terms, the Statement of Work, acceptance records and correspondence as evidence, and you authorise us to do so.
We may terminate all Services immediately on a chargeback, retain all sums already received, and invoice you for work performed but not yet billed. This does not limit our right to treat the chargeback as unlawful interference with our business.
14Price changes
We may change our standard rates, Plan prices and any recurring Fee by giving not less than thirty (30) days' notice, except that a Founding Rate does not change while it applies. The change applies to the next invoice after the notice takes effect. If you do not accept a Plan price change, your sole remedy is to cancel the Plan before the new price applies, in the manner set out in the Refund and Cancellation Policy. Project Fees already set out in an accepted Statement of Work do not change except through a change request or a written variation.
15Third-party and pass-through costs
Third-party subscriptions, licences, usage fees and similar costs that we purchase for you are billed at cost, or at cost plus any handling fee stated in the Statement of Work, and are payable in advance where we require it. They are non-refundable once we are committed to the third party, even if you later cancel.
You remain the contracting customer of the third party unless we tell you otherwise. Price increases by the third party are passed through. We are not obliged to fund those costs on your behalf.
16No set-off, withholding or deduction
You must pay Fees free of any set-off, counterclaim, deduction or withholding, except for tax withholding that law requires and that you have documented as required above. We may set off any amount we owe you against any amount you owe us.
17Records and our determination
Our invoices, payment records and time records are prima facie evidence of the amounts due. In the absence of manifest error, our determination of whether a milestone has been earned, whether a payment has cleared, and how a partial payment is applied, is final.
18Collection and further assurance
You must provide any information we reasonably request to issue invoices, complete payer checks, or satisfy a payment provider. You authorise us to share invoice and contact details with Payoneer and any other processor we use, and with professional advisers and collection agents.
Questions about billing must be sent to jarvis@therevampcompany.com. Opening a support ticket or messaging an individual does not constitute a valid invoice query or a notice of dispute.
