Referral Partner Terms
The rules for Sell with us: commission, the $50 wallet credit, holding periods, clawback and prohibited conduct.
Version 2.2 · Effective October 8, 2026
01The programme
These Referral Partner Terms govern the "Sell with us" programme operated by Blazed Digital (trading as The Revamp Company). By applying, accepting a wallet credit, introducing a business, or otherwise participating, you agree to these terms and to the Terms of Service, Privacy Policy and Payment and Billing Terms as they apply to partners.
The programme is a discretionary, revocable promotional arrangement. It is not a franchise, employment, agency or joint venture. We may change, suspend or end the programme, or your participation, at any time, with or without notice, for any reason or none. We owe you no compensation for doing so except commission that has already become payable under these terms and has completed its holding period.
02Eligibility and independent-contractor status
You must be at least eighteen (18), or the age of majority in your place of residence if higher, and capable of contracting. You participate as an independent contractor. You are not our employee, worker, agent or representative. You have no authority to bind us, to quote a binding price, to make warranties, or to collect Fees on our behalf.
You are solely responsible for your own taxes, social charges, expenses, equipment and insurance. We will not deduct PAYE, NIC, EOBI or equivalent. If a tax authority recharacterises the relationship, you must indemnify us for the resulting cost.
03What you may do
Your role is to introduce a genuine, arms-length business that may want a Review or a Plan, and then step back. You must not pitch solutions, promise results, discount beyond what we have published, or negotiate on our behalf. After the introduction, we run the commercial process.
04Qualifying introductions
An introduction qualifies only if all of the following are true, as determined by us in our sole discretion, our records being final:
- the business is not an existing client, is not already in our pipeline, and has not been introduced by someone else in the previous twelve (12) months;
- you are not introducing yourself, your employer, a business you control, or a person you are not permitted to refer;
- the introduction is made through the method we specify at the time, with accurate contact details and a real business need;
- the business is a commercial client, not a consumer, and is not a person we are prohibited from dealing with by sanctions or law;
- the introduction was not obtained by spam, scraping, purchased lists, misrepresentation, impersonation or any breach of these terms.
We may contact the business, decline the lead, or reclassify the introduction without owing you an explanation beyond a reasonable high-level reason if you ask.
05Commission
Subject to these terms, you earn a commission equal to thirty percent (30%) of the net Fees actually received by us for the referred client's first three (3) monthly Plan billing periods only. "Net Fees" means cleared funds we retain after processor fees, FX, taxes we must remit, refunds, credits, chargebacks and pass-through third-party costs. Commission is not payable on later Plan months, Ad Spend, other projects, change requests, the free Review, or any amount that is later reversed.
The twenty percent (20%) client discount advertised in the programme, if offered, is a discretionary commercial concession we may give the referred client. We may withdraw, reduce or refuse that discount. The discount does not increase your commission base. If a Statement of Work uses a different price, that price prevails.
Commission is contingent, not guaranteed. It is not a salary, not a partnership share, and not payable if the client does not pay, if the engagement does not proceed, or if these terms are breached.
06Holding period and when commission becomes payable
Commission is not payable when the client is invoiced and is not payable when the client first pays. It becomes payable only after both of the following have occurred: (a) the relevant client payment has cleared and is no longer subject to reserve, reversal or chargeback; and (b) sixty (60) days have passed after that clearance (the "Holding Period").
We pay payable commission in the next payout cycle we operate after the Holding Period, to the account we have accepted for you, in the currency we choose. We may set a minimum payout threshold. Amounts below the threshold remain in your wallet until the threshold is met or the programme ends. We may net any amount you owe us.
If we have not received complete and accurate payout details, or if a payout fails, the amount remains unpaid without interest until you correct the details. Unclaimed commission older than twelve (12) months from the date it became payable is forfeited.
07Clawback
If any client payment on which commission was calculated is refunded, charged back, reversed, never cleared, or written off, or if we determine the introduction was non-qualifying or procured in breach, the related commission is immediately repayable. We may deduct it from future amounts, from wallet credit, or invoice you, and you must pay that invoice within seven (7) days. Clawback survives termination of the programme.
08The $50 wallet credit
Any promotional wallet credit, including a fifty US dollar (USD 50) sign-up credit, is a discretionary bonus. It is not cash, is not salary, cannot be withdrawn until we say a payout threshold and Holding Period have been met, may be cancelled if you do not complete onboarding or if you breach these terms, and expires twelve (12) months after it is granted if unused. We may change or withdraw the promotion at any time. Wallet credit has no value on termination except as we decide in writing.
09Prohibited conduct
You must not:
- spam, scrape, cold-message purchased lists, or use automated outreach that breaches the CAN-SPAM Act, the Telephone Consumer Protection Act, PECA or any other anti-spam law;
- misrepresent us, the Services, prices, timelines, results, or your relationship with us;
- use our marks except as we permit in writing;
- bid on our brand terms, impersonate us, or create confusingly similar sites or profiles;
- refer yourself, create fictitious businesses, or collude with a client to manufacture commission;
- collect Fees, take a deposit, or open a payment account in our name;
- disclose our Confidential Information or another client's information;
- do anything that in our reasonable opinion damages our reputation or creates legal risk.
Breach allows us to withhold and forfeit all unpaid commission and credits, terminate your participation immediately, and claim damages and indemnity.
10Our records are final
Our books, pipeline records and payment records are conclusive evidence of whether an introduction qualified, whether a payment cleared, how net Fees were calculated, and what is payable, in the absence of manifest mathematical error. You must raise a query within fourteen (14) days of a payout statement, failing which the statement is accepted.
11Liability, confidentiality and publicity
We are not liable for a client's decision not to buy, for a price we quote, or for any representation you make beyond these terms. Our aggregate liability to you in connection with the programme is limited to the commission that has become payable and not yet paid in the previous three (3) months, or USD 100 if none. The exclusions in the Terms of Service apply.
You must keep our Confidential Information confidential. You may not issue a press release about the programme without our prior written consent. We may mention the existence of the programme generally without naming you.
12Termination and surviving obligations
Either party may end your participation at any time by notice. On termination, unpaid commission that has not completed the Holding Period is cancelled, wallet credit expires, and you must stop using our materials. Clawback, confidentiality, indemnity, liability, tax and governing-law clauses survive. Introductions made after termination do not qualify unless we agree in writing.
13Governing law
These Referral Partner Terms are governed by the laws of the Islamic Republic of Pakistan. The jurisdiction clause in the Terms of Service applies, including our right to sue you in your home courts.
